Lufthansa Acquires TAP Air Portugal Stake

Germany's Lufthansa Group has been selected by the Portuguese government to acquire a minority stake in national flag carrier TAP Air Portugal. The deal, announced on Wednesday, 14 October 2026, is valued at €1.2 billion, representing a 16% premium over the rival bid from Franco-Dutch airline group Air France-KLM.

Lufthansa Group will initially secure up to a 49.9% share in TAP Air Portugal. The Portuguese government will retain a 50.1% majority stake in the airline, ensuring its continued influence over the national carrier's operations and strategic direction.

Growth Strategy for the Portuguese Carrier

TAP Air Portugal stated that the acquisition marks an "important milestone" for the airline, opening up "new prospects for growth, scale and competitiveness" in the global market. Lufthansa Group has committed to preserving TAP Air Portugal's brand, its headquarters in Portugal, and its primary hub in Lisbon, while also developing operations at Porto.

The German carrier plans to expand TAP Air Portugal's fleet, including the addition of eight Airbus A350-900 widebody aircraft from 2030, to bolster its presence in Latin America and maintain connectivity to the Portuguese islands.

This acquisition follows a lengthy privatisation process for TAP Air Portugal, which came under government control during the COVID-19 pandemic after facing substantial losses.

Future Ownership and Regulatory Outlook

Lufthansa Group has expressed an ambition to acquire a majority stake in TAP Air Portugal in the future, with a second payment of €1.35 billion potentially due if purchase options are exercised in July 2028. Even with a majority acquisition, the Portuguese government would remain the second-largest shareholder in the airline.

The acquisition is expected to undergo an antitrust investigation by European Union regulators. This scrutiny is anticipated given Lufthansa Group's extensive portfolio, which includes Austrian Airlines, Brussels Airlines, SWISS, Eurowings, Discover Airlines, and a recently acquired majority stake in Italy's flag carrier, ITA Airways. The ITA Airways purchase also faced regulatory review but was completed with relatively few concessions.

Competitive Shifts for Asia-Europe Air Links

This consolidation within the European aviation sector could intensify competition for Asian carriers operating routes to Europe, particularly for those serving Portugal or connecting to Latin America via European hubs.

For Star Alliance members in Asia, such as Singapore Airlines or ANA, a stronger TAP Air Portugal under Lufthansa's ownership may enhance network connectivity and passenger flow into Europe and beyond.

Conversely, non-aligned Asian airlines or those in rival alliances may face increased pressure to adapt their strategies or seek new partnerships to maintain market share on these competitive intercontinental routes.

The precedent of streamlined regulatory approvals, as seen with the ITA Airways acquisition, shows how European consolidation can proceed, a trend Asian regulators and airlines may observe as they consider their own regional market dynamics.
